General Terms and
Conditions

§ 1 Scope and Contracting Parties

These General Terms and Conditions (hereinafter “Terms”) apply to all services provided by Mycelis GmbH (i.G.) (hereinafter “Mycelis” or “we”) via the mycelis.io platform. The contractual partner is the natural or legal person creating an account with Mycelis (hereinafter “User”).

Conflicting terms of the User are not accepted unless Mycelis expressly agrees to them in writing.

§ 2 Contract Formation and Subject Matter of Services

The contract is concluded when the User registers and accepts the Terms. Mycelis provides the following services:

  • GPU Instance Deployment: Provision of GPU compute capacity for hosting open-source AI models.
  • Managed Keys: Proxying API requests to third-party models (OpenAI, Anthropic, Google) with usage-based billing.
  • BYOK (Bring Your Own Key): Routing API requests through the Mycelis gateway using the User’s own API keys.
  • Knowledge Bases & RAG: Storage, processing, and semantic search in user-provided documents.
  • Fine-Tuning: Training LoRA adapters based on user-provided data.
  • Agents & Smart Routing: Configuration of rule-based routing logic via VirtualModels.

§ 3 Pricing and Billing

Mycelis usage is billed on a usage-based model:

  • GPU Instances: Hourly billing from instance start to termination. Current prices are available in the model marketplace.
  • Managed Keys & BYOK: Pay-per-token according to the displayed model-specific prices.
  • Fine-Tuning: GPU hours for training jobs, analogous to GPU Instances.
  • Knowledge Bases: Storage costs per GB-month for uploaded documents.

Invoices are issued monthly on the 1st of the following month via email. Payments are processed by credit card or SEPA direct debit via Stripe. All prices are exclusive of statutory VAT.

If payment is not received within 14 days, services may be suspended. If non-payment continues for 30 days, data may be deleted.

§ 4 User Obligations

The User undertakes to:

  • Not to use the platform for illegal purposes, especially for creating, distributing, or processing unlawful content.
  • To keep API keys confidential and rotate them immediately if compromise is suspected.
  • Not to upload or process content for which third parties hold rights without appropriate licensing.
  • To comply with rate limits and usage policies of the respective model providers (especially for Managed Keys).
  • To provide accurate and complete registration details and keep them updated.

§ 5 Availability and SLA

Mycelis aims for 99.5% monthly average API gateway availability (excluding announced maintenance windows). For GPU Instances, target availability is 99.0%, depending on underlying infrastructure availability (RunPod).

Planned maintenance is announced at least 24 hours in advance on the status page ( mycelis.io/status).

If guaranteed availability is not met, service credits may be granted to the usage account. No legal entitlement to credits exists if the cause lies outside Mycelis’ control.

§ 6 Limitation of Liability

Mycelis has unlimited liability for intent and gross negligence, as well as for damages resulting from injury to life, body, or health. For slight negligence, Mycelis is only liable in case of breach of an essential contractual obligation (cardinal obligation), limited to foreseeable, typical damages.

Liability for indirect damages, lost profits, or data loss is limited to foreseeable contractual damages, and in any event to the usage costs incurred in the respective calendar month.

§ 7 Termination

The User may delete their account at any time without stating reasons. Termination can be made via account settings in the dashboard or by email to hello@mycelis.io.

Mycelis may terminate the account with 30 days’ prior notice. The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in cases of serious breaches of these Terms or persistent non-payment.

After termination, all user data will be deleted within 30 days unless legal retention obligations prevent this.

§ 8 Data Protection

Personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.

§ 9 Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes arising from this contract is Berlin, provided the User is a merchant, legal entity under public law, or a public-law special fund.

Mycelis reserves the right to amend these Terms with 30 days’ notice by email. If the User does not object within this period, the amended Terms are deemed accepted. In case of objection, Mycelis has the right to extraordinary termination.

If individual provisions of these Terms are invalid, the validity of the remaining provisions remains unaffected.
